3.2 Scope Confirmation
The exact scope of any Project is defined in the written Quotation or Project Agreement accepted by the Client. Any work outside the agreed scope is treated as an additional service and will be quoted separately in writing before execution.
04Quotations & Estimates
All Quotations provided by MS Demolishers are based on a free site inspection conducted by our licensed engineers. The Quotation reflects our professional assessment of the structure, access, safety requirements, debris volume and site-specific conditions.
4.1 Validity of Quotation
- Quotations are valid for 15 days from the date of issue unless otherwise stated in writing.
- Prices may be revised after the validity period due to changes in material costs, fuel prices, labour rates or site conditions.
- Quotations are specific to the Site assessed and cannot be transferred to another property.
4.2 Revisions & Additional Work
- If the actual site conditions differ materially from what was assessed during the free inspection (e.g., hidden RCC structures, unexpected rock, hazardous materials), we will inform you in writing before proceeding.
- Any additional work requested by the Client after Project commencement will be quoted separately and requires written approval before execution.
4.3 Acceptance
A Quotation is deemed accepted when the Client provides written confirmation (via email, WhatsApp or signed document) and pays the advance amount specified in Section 7.
05Client Obligations
The Client agrees to the following obligations to ensure the Project is completed safely, on time and in compliance with the law:
- Legal Ownership: The Client confirms they are the lawful owner of the Site, or have written authority from the owner to commission demolition or excavation work.
- Accurate Information: The Client provides accurate and complete information about the structure, site boundaries, utility lines, easements and any known hazards.
- Permits & Approvals: The Client provides copies of all required municipal, statutory and regulatory approvals for the Project, or authorises us to obtain them on their behalf.
- Vacant Possession: The Client ensures the Site is vacated of all occupants, tenants, personal belongings and movable assets before the Project starts.
- Utilities Disconnection: The Client ensures all utility connections — electricity, water, gas, sewer, telecom — are disconnected or rerouted before demolition begins, or arranges for it as agreed.
- Neighbour Coordination: The Client informs neighbouring property owners of the upcoming work and any potential temporary disruption.
- Site Access: The Client provides safe, unobstructed access to the Site for our machinery, crew and debris removal vehicles.
- Timely Payments: The Client adheres to the payment schedule specified in Section 7.
06Site Access & Conditions
Safe and adequate site access is essential for successful project delivery. The Client agrees that:
- Unobstructed access to the Site will be provided for the duration of the Project, during reasonable working hours (typically 8 AM – 6 PM).
- Adequate space for machinery staging, debris segregation and material storage will be provided on or adjacent to the Site.
- Access roads must be capable of accommodating heavy machinery (JCBs, tippers, dumpers, hydraulic breakers). If access is restricted, the Client must inform us during the site inspection.
- The Client will not obstruct our team, machinery or vehicles during working hours.
- If access is restricted or unsafe, we may need to revise the Project timeline or price — this will be discussed with the Client in writing.
07Payment Terms
Payment terms for a Project are defined in the Quotation or Project Agreement. Unless otherwise stated in writing, the following standard terms apply:
7.1 Payment Schedule
- Advance Payment: 30% of the total project value is payable on acceptance of the Quotation, before mobilisation of machinery and crew to the Site.
- Mid-Project Payment: 40% is payable upon completion of the demolition phase (or as defined by milestone in the Quotation).
- Final Payment: 30% (plus any additional work charges) is payable before final site handover, once the debris is cleared, site is cleaned and documentation is provided.
7.2 Accepted Payment Methods
- Bank transfer (NEFT/RTGS/IMPS) to our official account — details provided on the invoice.
- UPI payment to our official UPI ID (provided on the invoice).
- Cheque in favour of "MS Demolishers" — cleared before mobilisation.
- Cash payments will be acknowledged with an official receipt.
7.3 Late Payments
- If any milestone payment is delayed beyond 7 days, MS Demolishers reserves the right to pause work until payment is received.
- Delayed payments may attract interest at 1.5% per month on the outstanding amount.
- We reserve the right to remove our machinery from the Site if payments remain overdue, without affecting the Client's obligation to pay for work already completed.
7.4 Taxes
All prices quoted are exclusive of GST unless otherwise stated. Applicable GST will be added to the invoice at the prevailing rate.
Important: MS Demolishers has no authorised agents for collecting payment on its behalf except through the official channels listed above. Always pay against an official invoice and receive a receipt.
08Permits & Approvals
Demolition and excavation work is regulated by municipal and statutory authorities. Depending on the Project, one or more of the following may be required:
- Municipal demolition permission from the local corporation / municipality.
- Structural stability certificate where applicable.
- Utility disconnection clearances (electricity, water, sewage, telecom).
- Traffic and debris transport permission from local traffic police where required.
- Environmental and pollution board clearances for industrial and high-rise demolition.
- Any other approvals specific to the Site, structure or applicable local regulations.
Responsibility: Unless otherwise agreed in writing, the Client is responsible for obtaining all approvals required for the Project. MS Demolishers supports the process by providing documentation, method statements, safety plans and coordination support. We do not guarantee approval timelines of any government authority.
09Safety & Compliance
Safety is the foundation of every MS Demolishers project. We are a licensed, insured and safety-certified contractor with structural engineering oversight on every project. The Client agrees to:
- Allow MS Demolishers to implement its full safety protocol on Site, including barricades, signage, dust control, protected access and PPE requirements.
- Ensure no unauthorised persons (including the Client's staff, family members or visitors) enter the work area without our written permission.
- Immediately inform us of any change in Site conditions that may affect safety — for example, discovery of hazardous materials, unmarked utility lines, or instability in neighbouring structures.
- Not to interfere with or countermand instructions given by our site engineer or safety officer.
- Comply with all applicable laws relating to demolition, dust, noise, working hours and debris disposal.
Client's Assurance: The Client confirms that the structure to be demolished does not contain any material that is unlawful to demolish, and that no part of the Site is subject to a legal dispute, court injunction or statutory restriction that would prevent demolition.
10Debris Removal & Disposal
Debris removal, loading, transportation, disposal and site clearance are included in the Project as per the Quotation, unless specifically excluded in writing.
- Disposal Compliance: All debris is transported and disposed of in compliance with local municipal and pollution board regulations.
- Recycling: Where possible, concrete and steel are recycled to reduce environmental impact and reduce project cost.
- Ownership of Debris: Once debris is removed from the Site, ownership of the debris transfers to MS Demolishers unless otherwise agreed in writing.
- Salvageable Materials: Any salvageable materials (steel, fittings, doors, windows) that the Client wishes to retain must be removed by the Client before demolition begins or identified in the Quotation.
- Hazardous Waste: Where hazardous materials (asbestos, chemicals, contaminated soil) are present, we coordinate with licensed hazardous waste specialists — additional charges may apply, quoted separately.
11Timeline & Delays
Project timelines are committed in the Quotation based on our site inspection and typical conditions. While we deliver most projects on schedule, timelines may be affected by factors beyond our reasonable control:
- Adverse weather conditions — heavy rain, storms, cyclones, extreme heat.
- Discovery of unexpected site conditions — hidden RCC structures, bedrock, hazardous materials, additional debris volume.
- Delay in obtaining permits or utility disconnections.
- Delay in Client payments per Section 7.
- Restrictions imposed by local authorities, traffic police or municipal bodies.
- Access restrictions, power outages or water supply interruptions.
- Force Majeure events as defined in Section 13.
In the event of delay, MS Demolishers will keep the Client informed and will make all reasonable efforts to mitigate impact and complete the Project as soon as conditions permit. Time is not the essence of the contract, and delays beyond our reasonable control do not constitute breach of this Agreement.
12Warranty & Liability
12.1 Warranty
- We warrant that all Services are performed with reasonable skill, care and in accordance with applicable industry standards and Indian law.
- We warrant that our crew is trained, licensed and insured, and that we deploy modern, well-maintained machinery on every Project.
- We warrant that the Services will be performed in compliance with the agreed scope, timeline and safety protocol.
12.2 Limitation of Liability
- Our total liability arising from any Project shall not exceed the total value of the Project as stated in the Quotation.
- We are not liable for indirect, consequential, incidental or punitive damages, including loss of profit, loss of business or loss of opportunity.
- We are not liable for damage to underground utilities (electricity, water, gas, sewer, telecom) that were not disclosed by the Client or clearly marked on Site before demolition commenced.
- We are not liable for pre-existing damage to neighbouring properties unless caused by our demonstrable negligence.
- We are not liable for delays caused by factors listed in Sections 11 and 13.
12.3 Insurance
MS Demolishers maintains comprehensive insurance covering our crew, machinery and third-party liability on Project sites. Details of insurance coverage are available on request. This insurance does not extend to cover the Client's property or the structure being demolished, which is the Client's responsibility to insure if desired.
13Force Majeure
Neither party shall be liable for any failure or delay in performance caused by events beyond their reasonable control, including but not limited to:
- Natural disasters — earthquakes, floods, cyclones, storms, lightning, extreme weather.
- Government actions — strikes, lockouts, bandhs, curfews, changes in law, statutory restrictions.
- Public health emergencies — epidemics, pandemics, lockdowns.
- Utility failures — prolonged power outages, water supply cuts.
- Civil disturbances — riots, war, terrorism, political unrest.
- Any other event that could not reasonably have been foreseen or prevented.
If a Force Majeure event affects the Project, the affected party shall promptly notify the other. Work will resume as soon as the event ceases and conditions permit. Timelines will be extended accordingly, and neither party shall be held liable for the delay.
14Termination
Either party may terminate this Agreement under the following circumstances:
14.1 Termination by the Client
- The Client may terminate the Agreement before Project mobilisation by written notice. Advance paid is refundable subject to deduction of any site inspection and planning costs incurred.
- After mobilisation, termination is allowed only by mutual agreement, and the Client will be liable to pay for all work completed and all costs incurred up to the termination date.
14.2 Termination by MS Demolishers
- If the Client provides false information about the Site, its ownership or its condition.
- If the Client fails to provide required permits or utility disconnections and refuses to cooperate.
- If the Client delays milestone payments beyond 15 days despite written reminders.
- If the Client interferes with our safety protocol or directs us to work unsafely.
- If continuing the Project would violate any law or regulation.
14.3 Effect of Termination
On termination, the Client shall pay all outstanding amounts for work completed up to the termination date, including any additional costs incurred. Any amounts already paid by the Client for work not performed will be refunded within 15 business days, after deducting our site inspection, planning and mobilisation costs where applicable.
15Dispute Resolution
We believe most concerns can be resolved through open communication. The parties agree to the following dispute resolution process:
- Good Faith Discussion: Both parties will first attempt to resolve any dispute through direct discussion within 15 days of the dispute arising.
- Written Notice: If unresolved, the aggrieved party will issue a written notice describing the dispute, which the other party will respond to within 15 days.
- Mediation: If still unresolved, both parties will attempt mediation through a mutually agreed mediator.
- Arbitration / Courts: If mediation fails, the dispute will be subject to the exclusive jurisdiction of the courts at Hyderabad, Telangana, India.
Nothing in this Section prevents either party from approaching a competent court for urgent interim relief.
16Governing Law
These Terms and any Project Agreement with MS Demolishers shall be governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872, the Consumer Protection Act, 2019, and any other applicable legislation.
The courts at Hyderabad, Telangana, India shall have exclusive jurisdiction over any matter arising out of or in connection with these Terms or any Project, unless otherwise agreed in writing.
